231 organizational model for the prevention of wrongdoing
Legislative Decree No. 231 of June 8, 2001 (L.D. 231/2001) provides for the liability, administrative (comparable to criminal liability) of legal persons, companies or associations – including those without legal personality – who commit certain offenses done in the interest or to the advantage of the Entity. Offenses committed by persons in “apical” positions or by those who are subject to the management or supervision of the latter.
Administrative liability is independent of the criminal liability of the individual who committed the crime. Therefore, administrative liability is in addition to criminal liability.
The company’s administrative liability is excluded if the company itself adopts-before the crimes are committed-organization and management models. Models that are intended to prevent crimes.
The Isotex 231 Model
Isotex has adopted an organization, management and control model (Model 231) -by resolution of the board of directors-which formalizes measures aimed at preventing the offenses set forth in Legislative Decree 231/2001 within the scope of activities identified as sensitive that would lead to a potential risk of wrongdoing.
Isotex has also established a single-member Supervisory Board, appointed by the board of directors, with autonomous supervisory and control powers. The task of this body is to supervise the operation and observation of the Model and deal with its updating, if necessary.
The principles and rules expressed in Model 231 are consistent with those required by the Code of Ethics adopted by the Company.
